Providing hands-on legal assistance in structuring and drafting, negotiating, interpreting, managing and enforcing routine and complex and high value commercial transactions, including (i) licensing and software arrangements (including SaaS services and related implementation agreements), (ii) master services agreements and related statements of work, (iii) partnering, reseller, joint venture and strategic alliance arrangements, and (vi) vendor and consulting agreements;
Work closely with management on contractual and regulatory and disputes exposures and risks relating to development of new customer offerings or services and related customer agreement terms, promotional and marketing activities, data protection and cybersecurity risks across different offerings and in diverse media and premise-based or mobile IT devices, and international market expansion;
Help to educate the business teams about contracting forms, intellectual property rights and obligations, commercial and legal risks and approval procedures;
Provide comprehensive legal counseling regarding a broad spectrum of corporate, commercial, and intellectual property matters impacting the businesses, including legal issues related to SaaS, on-premise software license and professional service offerings and strategic relationships;
Provide hands-on legal assistance in structuring and drafting, negotiating, interpreting, managing and enforcing complex commercial transactions;
Monitor and ensure compliance with GDPR and other applicable data protection law as introduced, amended and supplemented from time to time, and with the policies of the local companies in relation to the protection of personal data (including drafting and implementing new/update relevant applicable policies);
Provide advice on GDPR, respond to data subject requests and/or relevant complaints, monitor and maintain comprehensive records of all data processing activities conducted by the business, including the purposes of all processing activities, which must be made public on request /update the company’s register of data processings;
Cooperate and liaise with Wolters Kluwer’s Privacy Office and act as the primary contact point for the Scandinavia business on issues relating to local data protection law (e.g., processing, compliance activities, strategies, data breach notifications to group and following incident management process) and consult with division from time to on data privacy related matters;
Counsel on other regulatory and compliance matters impacting the businesses, in line with Wolters Kluwer compliance programs;
Develop a strong rapport and working relationship with the management team for TAA Scandinavia to help drive the delivery of effective and high quality legal services which are appropriately linked to the relevant business needs, while at the same time helping drive greater consistency of approach and standards across Wolters Kluwer businesses;
Collaborate with other Wolters Kluwer attorneys including working in partnership with Wolters Kluwer attorneys in other jurisdictions to ensure consistent terms and negotiations with global customers;
Effectively manage outside counsel in a cost-effective manner, whether transactional, litigation or compliance in nature, and appropriately work with other attorneys within the Wolters Kluwer Law Department who may also be involved in supporting certain matters and managing outside counsel (e.g., litigation, HR matters, certain IT/IP areas).
University Degree in Law.
Experience and Knowledge
3-5 years of practice, preferably from an international law firm, or equivalent in-house experience, or a combination of both;
Experience in interacting with remote internal customers and management;
Knowledge and understanding of compliance programs, including data protection laws;
Working in a dynamic and fast-paced business environment.
Able to explain complex legal issues to business leaders; able to take business leaders’ concerns and demands into account when developing legal strategies;
Excellent communication, drafting, and negotiation skills;
Adopt a practical approach to problem-solving and have the ability to effectively counsel internal clients by providing them clear, concise advice to meet their business needs;
