Job purpose
The Legal Counsel will be responsible for providing legal advice and support on commercial contracting matters and a wide variety of projects relating to TMF’s global client contracts across the world.
The Legal Counsel will be part of the Client Contracting Team that forms part of the Group Legal function.
Key responsibilities
- Providing legal advice and support, including drafting, negotiating and supporting contract closure on a range of bespoke and standard commercial contracts across the world, including non-disclosure and confidentiality agreements and other agreements relevant to the transaction in line with the uniform TMF Group templates and TMF Group policies and guidance;
- Provide concise legal advice, support and recommendations in relation to existing client contracts, including amendments, complaints and disputes, termination and debt collection and assist to respond to ad-hoc commercial contract queries;
- Assist and provide legal support on (cross-functional) projects within TMF Group, including project management and global coordination;
- Supporting the Global Head of Client Contracting in setting up and contributing to the goals and projects of the Client Contracting Team and Group Legal function;
- Understand the business needs and assist in translating this into relevant contract provisions;
- Exercise independent judgement within generally defined practices and policies to balance commercial and TMF Group’s interests. Offer pragmatic solutions in contract negotiations and projects, which achieve the closure of the deal or project whilst protecting TMF Group’s legal position;
- Updating and contributing to the enhancement of the Client Contracting SharePoint Site.
Key requirements
- Bachelor’s or Master’s degree in Law (or local equivalent);
- Minimum 5 years of relevant experience in commercial contracting and projects;
- Excellent knowledge of English language is mandatory;
- Experience in drafting and negotiating professional services contracts in an international company and previous experience working in law firm would be considered an advantage;
- Experience in multi-jurisdictional, cross-functional projects would be considered an advantage;
- Strong inter-personal and negotiation skills;
- Excellent communication skills.
