Legal Counsel Contracting

This is what you do as a Legal Counsel

The Legal Counsel Contracting will join the Group Legal team which is based at the Corporate Center in The Hague. Group Legal provides Aegon’s Corporate Center and Group functions and businesses with legal support. It ensures its stakeholders, including the Executive Board and the Management Board, are informed about, and advised on, relevant legal and regulatory aspects and helps to identify and mitigate legal risks related to mergers & acquisitions.

Group Legal advises on a variety of legal matters, including corporate law, governance aspects and privacy and data protection law. In addition, Group Legal provides support in M&A transactions, assists in the issuance of capital market instruments and is involved in commercial contracting regarding (global) procurement initiatives.

The Legal Counsel will work in a regulated and international environment, in collaboration with (senior) legal counsels and colleagues from various professional teams at Corporate Center and Aegon’s business units globally. The Legal Counsel will be involved in a broad variety of legal matters within the scope of Group Legal’s responsibilities.

The Group Legal team is part of the General Counsel remit and consists of several (Senior) Legal Counsels and is headed by the Head of Legal. The Legal Counsel Contractingwill report to the Head of Legal.

Role and Responsibilities

• Providing contract support (supplier, reseller, distributor, property etc.) across the globe, ensuring that contracts meet terms in accordance with the guard rails implemented, or appropriate approvals have been obtained.
• Commercial contracting: prepare and review (proposals for) various contracts, including service level agreements and data processing agreements,  support Aegon (Global) Procurement in drafting and negotiating contracts, with a focus on IT/Cloud service agreements.
• Advice: provide advice to (middle) management as requested as well as at one’s own initiative on various legal and regulatory matters, in order to enable informed decision making by (middle) management.
• Financial transactions: drafting and reviewing documentation in relation to issuances of financial instruments.
• Governance: ensure alignment and compliance with legal requirements as well as Aegon’s policies, procedures, and processes to ensure proper governance, both by the listed holding company as well as in the relationship between the holding company and its group companies.
• External contacts: Advise external legal advisors when needed and lead such advisors in a cost-efficient way.
• Immediate interaction with middle management and General Counsel: translate legal positions into clear mentorship to middle management.
• The Legal Counseldeals with more standard cases autonomously and independently. Works on larger or more sophisticated cases together with Senior Legal Counsel and/or Head of Legal.
• Raises issues to Head of Legal where vital.

This is your future position, because you:

• Have a Master’s degree in Law from one of the Dutch Universities.
• Qualified lawyer with approximately 4-7 years of work experience with Specialization in financial law, contract law and/or securities law is preferred
• You have a deep understanding of the legal aspects of mergers and acquisitions, corporate finance, and corporate governance.
• Worked in an international context and has experience negotiating and drafting (sophisticated) commercial agreements in English.
• True teammate, both as part of the Group Legal team and ability to work as part of a wider team of geographically dispersed highly skilled professionals.
• Loves to handle (the legal aspects of) a variety of matters, ranging from general commercial agreements and governance principles to work as part of a transaction team in relation to M&A and/or the issuances of capital market instruments.
• Hardworking, positive, diligent, pragmatic and motivated to excel at getting things done, even with many things on their plate.
• Dares to take ownership.
• Good planning, prioritization and goal setting skills; able to work under time pressure and able to cope with (sudden) changes.
• Understanding of data privacy, and cloud contracting and (critical outsourcing) requirements is a plus but not required
