Purpose of the role:

In your role as the company’s in-house corporate counsel, you will be responsible for managing the legal aspects of the company’s corporate transactions and ensuring good corporate governance. The Legal Manager – Corporate will report to the General Counsel and will partner with members of the legal and finance teams. The Legal Manager – Corporate will work cross functionally with important stakeholders of the Wizz Air Group, including the senior executive team and the Board of Directors, on such matters as corporate transactions, contract drafting and negotiation, board management, corporate governance matters, and other key business initiatives. You will work on complex, high profile and international issues and will give pragmatic legal advice to drive Wizz Air’s business strategy and expansion plans.

Key responsibilities:

  • Review and drafting of internal contracts, including intra-group, shareholder, joint venture and transfer pricing agreements;
  • Review and drafting of transactional agreements, including heads of terms, non-disclosure agreements, share purchase agreements, assignments, novations and business transfer agreements;
  • Advise on listed company obligations, corporate filings, AGM preparation, and board management;
  • Executing group guarantees and internal financing and reorganisations;
  • Work cross functionally on capital markets financing programs (EMTN);
  • Regulatory advice on market abuse regulations, insider dealing restrictions and disclosure obligations;
  • Managing internal know-how;
  • Design and transform processes regarding corporate processes such as approval and signatory rights, powers of attorney and subsidiary management;
  • Monitoring corporate laws and regulations, including capital markets and ESG;
  • Preserve the company’s IP assets (trademarks, brand names etc.);
  • Transform, develop and enforce compliance and corporate governance frameworks, training and policies;
  • Identify potential legal risk, constraints and risk mitigation mechanisms;
  • Project management and collaboration across functions;
  • Manage and instruct external legal counsels and related budgets.

Requirements:

  • Law Degree;
  • 3 years of work experience, of which at least 1 year at a reputable law firm or company;
  • Prior corporate law experience, including transactional experience in capital markets or banking law;
  • Knowledge of company and contract law;
  • Strong analytical capability, including during time critical periods;
  • Experience with UK corporate governance rules advantageous;
  • Fluent professional English both written and spoken;
  • Excellent legal drafting skills;
  • Ability to prioritize and adapt to changing business needs as well as being independently proactive in generating action plans and structure;
  • Excellent execution and coordinating skills;
  • Pro-active and pragmatic attitude;
  • Project management and/or transformation experience;
  • Ability to travel.
