The role reports to the CEO of TME, the Audit Committee/TME Board with cross matrix reporting to the Head of TMHCC International Compliance and Data Protection Officer in London. You will actively participate on TMHCC International Product Governance & Distribution Committee and TME Risk & Capital Management Committee meetings, attending TME Board meetings as required.

Job Purpose

Lead and manage all compliance, regulatory and legal functions for TME in Luxembourg and across TME’s 10 European branches. Develop and lead a service and solutions-driven Department to ensure Compliance and Legal expertise and advice is pro-actively provided to support and drive the business. You will be the key regulatory contact for the CAA Luxembourg and for other European authorities and perform the MLRO function and reporting.

Key Responsibilities

  • Set the Legal & Compliance Departmental strategy and objectives for TME covering Luxembourg and its European branches for approval by the TME Board;
  • Leadership, development and performance management of a department comprising of multiple geographies and areas of responsibility, requiring continuous embedding and enhancing of frameworks relating to Third Party Management, Compliance Monitoring & Advisory, Conduct Risk, Legal, Branch Management, Regulatory Affairs etc.;
  • As the Compliance Key Function Holder (KFH), continue to develop and maintain an effective Compliance & Legal Department implementing and refining as necessary the recently established target operating model;
  • Develop and maintain effective relationships with external stakeholders including regulators/external auditors and internal stakeholders including first line of defence/managers of TME business lines, UK and US Compliance teams as necessary and Internal Audit teams;
  • Produce the annual Compliance Plan for approval by the TME Board, detailing work performed during the current year and future goals and objectives for the TME Legal & Compliance Department. Regularly monitor performance against agreed Plan as a living document taking into consideration emerging compliance risks;
  • To be the named individual in Luxembourg responsible for TME complaints handling;
  • Perform the role of TME MLRO, covering all aspects of financial crime, whistleblowing concerns, reporting as necessary to the Audit Committee/TME Board;
  • Assess the impact of regulatory developments on TME, identifying proportionate solutions that will ensure ongoing compliance;
  • Evaluate the compliance impact of business change or potential corporate transactions involving TME;
  • Ensure the implementation and effective management of individuals’ regulatory approvals and that Board members and senior management understand their regulatory responsibilities;
  • Oversee and produce reports as required for the TME Board, PGDC, RCMC as well as Audit Committee;
  • Oversee all regulatory requests for information and timely submission of returns and manage regulatory assessments/visits ensuring full preparedness as required;
  • Specifically, to oversee the annual external audit performed on TME’s AML-TF controls as applied to its Credit and Surety lines of business;
  • Ensure the Department works alongside HR to enable compliance with IDD training requirements for applicable staff.

Essential Skills and Experience Specification

  • A minimum of 10-15 years’ Insurance industry experience of which a minimum of 3-5 years’ experience in a similar role working across non-life insurance business lines;
  • Strong expertise in compliance and regulatory and proficient in understanding and transposing insurance regulatory and compliance requirements into effective and efficient operational frameworks;
  • Role located in Luxembourg with frequent travel to multiple branches across Europe;
  • Fluency in English and French (written and spoken) is essential;
  • Track record of building and leading teams in Compliance and Legal to consistently deliver high levels of performance, service and solutions to support and drive the business;
  • Demonstrates a high level of problem solving and the ability to resolve issues, adopting a proportionate approach;
  • Demonstrates a risk-based methodology in work methods and reporting;
  • Strong analytical and presentation skills;
  • Ability to prioritise tasks appropriately and ensuring that agreed delivery dates are achieved;
  • Excellent interpersonal skills, able to communicate effectively with a wide range of people and develop relationships with stakeholders across the business.
