Job overview:
As a key part of the IQVIA M&A legal team, this individual will support the Legal Director, EMEA M&A and Integration and also have day-to-day responsibility for their own M&A, joint venture, reorganisation and other corporate transaction projects in the EMEA region, under general guidance of Legal Director, EMEA M&A and Integration. The legal counsel will work closely with other members of the in-house team in other jurisdictions and be responsible for managing external counsel where required in the transactional work.
Responsibilities include:
- Supporting the EMEA M&A legal team on M&A, joint venture, reorganisations and other corporate transaction projects, as well as taking the lead on some of their own transactions;
- Ensuring legal training and best practices are disseminated to the business and functional teams;
- Accountability for adapting, driving and implementing acceptance and use of new M&A templates, innovations and processes within EMEA;
- Collaborating with the Corporate Development team, as well as the EMEA and global legal teams to facilitate business goals and objectives;
- Actively work to align the legal objectives and business objectives to collaboratively execute M&A and other corporate transactions efficiently whilst appropriately managing legal risk;
- Provide strong support and guidance to the business and legal teams throughout the integration process;
- Providing legal support on UK company secretarial matters in collaboration with the external company secretarial team.
Experience and knowledge:
- Strong experience of cross-border M&A and corporate transactions across EMEA, having trained and/or had post-qualification experience at an international law firm;
- Experience of advising and supporting on UK company secretarial matters preferred but not essential;
- Strong interpersonal and communication skills;
- Excellent judgement with the ability to anticipate and identify issues;
- Ability to engage in complex problem solving;
- Collaborative;
- Ability to earn the trust of the management teams of the business;
- Self-reliant, hard-working and results-orientated;
- Culturally sensitive;
- Fluent English;
- 4-6 years relevant PQE.
