HOW YOU MAKE AN IMPACT
- Support G&T Sales & Tendering team by writing, reviewing, commenting and negotiating a wide range of contracts (letters of intent; “MOU”; preferred supplier agreements; partnership agreements; EPCI contracts; O&M agreements) in order to properly manage risks and comply with the internal contracting principles and guidelines. You will also draft and negotiate appropriate consortium and subcontracts;
- Participate in final review of all contractual and commercial documents prior to contract signature;
- Assist hand-over to Project team for execution;
- Support the G&T Contract Management function and G&T Project Execution teams by giving legal advice on all necessary matters related to the execution of the contracts, including but limited to warranties, financial securities, claims and litigations;
- Support in the incorporation and establishments of project companies and affiliates;
- Follow the disputes & litigation associated with the portfolio of projects;
- Support the G&T Purchasing Department for the establishment and negotiation of complex subcontracts and strategic procurements;
- Support the G&T R&D activity by drafting and negotiating collaboration/development agreements;
- Promote best practice and contractual and legal culture, advise internal clients from every team on relevant legal issues and risks, agreement structures, approval processes, company policies and procedures;
- Create and update agreement templates and policies;
- Implementation and monitoring of the Compliance policies of the Group (anti-bribery, conflict of interest, ethic, competition, anti-trust, GDPR, …) in collaboration with the Group Compliance Officer;
- Perform regular trainings internally on compliance & risk management;
- Coordinate and supervise the work of the external law firms if and when necessary.
YOUR STARTING POINTS WHEN YOU JOIN
- Postgraduate degree in business law with ideally a double qualification and experience (Civil and Common Law), or at least a good Common Law knowledge;
- Minimum 5 years’ experience in a law firm and/or as Inhouse with knowledge of industrial/infrastructure/renewable projects;
- Experience in cross boarder project management desirable, and comfortable working within a multicultural environment;
- Experience in negotiating and drafting a wide variety of commercial contracts, including O&M contracts and complex turnkey EPCI projects in an international environment. Being familiar with the major construction contract forms including FIDIC, NS, NF, NEC, … will be a plus;
- Sound business judgment with the ability to balance legal and business priorities, break down complex legal problems, and articulate risks to partners in the business;
- Comfortable working in a fast-paced and dynamic environment, ability to adapt to changing priorities;
- Customer orientation with excellent collaboration skills;
- Willingness to take on tasks both big and small;
- Pragmatic thinker, and ability to give succinct legal advice, excellent at building strong relationships;
- Available for occasional travel;
- Excellent communication skills in English (working language).
