PURPOSE AND OBJECTIVES

Seeking a Legal Counsel/Senior Legal Counsel who enjoys working independently but collaboratively in a team environment within a fast-paced legal department and dynamic company. Target candidate will have 5 to 10 years of large law firm or in-house experience, with a focus on mergers, acquisitions, divestitures, joint ventures and post-merger support. The position is located in Walldorf, Germany.

EXPECTATIONS AND TASKS

  • The successful candidate will work closely with SAP’s current lawyers responsible for M&A and other practice areas to support M&A, divestiture, joint venture, investment and asset purchase negotiations, due diligence and integration activities. As part of a broad legal team supporting diverse corporate functions, the successful candidate will also support other topics within the Regulatory Technology and Operations legal team.
  • Includes designing company-wide processes for internal due diligence and post-acquisition integration; as well as performing diligence, managing diligence teams, and negotiating and drafting agreements for transactions.
  • Information learned in due diligence will be used to develop a high-level integration plan focusing on matters to resolve before signing, before closing and post closing.
  • The candidate will also support other topics within the remit of the Regulatory Technology and Operations global team, including contract negotiations and general support for procurement, marketing, partner and other corporate functions, with a focus on German language/law topics.

EDUCATION AND QUALIFICATIONS/SKILLS AND COMPETENCIES

  • Must have a legal degree from an accredited German law school.
  • Excellent communication skills, interpersonal skills, business judgment and strategic thinking, a superior work ethic, dynamic and highly team-oriented, well organized, and able to work with cross-functional teams across multiple time-zones managing numerous projects simultaneously under deadline pressure.
  • Flexibility and willingness to work on a broad variety of legal matters.
  • Superior German and English language written and oral communication skills required.
  • Should be a good business advisor concerned with deal particulars as well as general company processes.

WORK EXPERIENCE

  • Must have at least 5 years of relevant legal experience and demonstrated success either at an in-house legal department or a major law firm. Experience in high technology preferred. International experience, a plus.
  • Prefer experience with mergers and acquisitions, including significant experience in technology company diligence, advising on deal terms and regulatory clearance is a plus.
