RESPONSIBILITIES

Summary of the key purposes of the role

The key purposes of the role are:

  • To ensure the legal security, certainty and conformity of the activities exercised by Kleinwort Hambros entities including best practice as regards corporate governance to ensure a robust control framework across Kleinwort Hambros;
  • To proactively identify and participate in managing the legal operational risks and opportunities, including prevention and monitoring of litigation, relevant to Kleinwort Hambros;
  • To participate in the effective management of external legal resources and exposure; and
  • To support the activities and operations of the department of wealth planning engineering and fiduciary activities in the Channel Islands and United Kingdom.

Key responsibilities

  • Responsible for the management of legal team to support the business activities across Kleinwort Hambros. This includes, but is not in any way restricted to: analysing the legal risks of the activities and the operations presented to the customers and prospects, in particular:
    • the activity of wealth planning, and the fiduciary activities (mainly Trusts in the Channel Islands);
    • financing documentation and implementation of guarantees;
    • contracts with financial intermediaries;
    • new products and services.
  • Develop and strengthen relationships with the Kleinwort Hambros business lines to promote best practice and ensure a good understanding of the Kleinwort Hambros legal requirements in order to mange and minimise legal risk;
  • Ensure compliance with the SG Legal Handbook such that Kleinwort Hambros Legal policies and procedures reflect SG Policy and directives, best practice and current law and are applied consistently across Kleinwort Hambros to enable each entity to comply with all relevant legal and regulatory requirements in each jurisdiction;
  • Ensure that Kleinwort Hambros boards and committees, and SG Group Legal, are updated as relevant on all significant legal matters including litigation;
  • Management, as required, of relevant legal projects;
  • Manage and/or monitor any significant issue/investigation (including client complaints, employee actions etc.) within the Kleinwort Hambros and in co-ordination with SEGL/JUR/RJC for any major litigation or dispute including the treatment of litigation;
  • Report to SG Group Legal and “PRIV” (the SG Private Banking Group) to co-ordinate and report legal and litigation issues at SG Group level including cooperating on files or requests coming from SG Private Banking Head Office legal department;
  • Participates and contributes to centralised matters involving the Legal Function of the Société Generale Group (the reporting tool, legal function works and SG legal and regulatory watch etc.);
  • Ensure the legal and regulatory watch (with Compliance) for the Kleinwort Hambros is completed and senior management regularly appraised of material legal and regulatory changes;
  • Ensure in association with Senior Management and the Compliance Department, relations with local institutions are appropriate and, if necessary, advises on relations with the local regulators;
  • Develop and deliver appropriate internal training programmes;
  • Develop and build relationships with external legal suppliers to ensure an appropriate, efficient and cost-effective provision of external legal support to the Kleinwort Hambros Group.

Business development

Detail of level of responsibility for:

  • implementation of the strategy delegated from the SMF for the specific sub business;
  • development of business line (revenue growth, client base development);
  • for projects (where relevant);
  • for implementation of regulatory changes;
  • joint ventures.

Budget and reporting

Detail of level of responsibility for:

  • development of a plan and management of the annual budget;
  • involvement in the monitoring of associated elements to the budget;
  • forecasting;
  • cost management;
  • improvement of the operational efficiency (costs, efficiency of it development, etc.);
  • review of reporting provided from finance department covering key operating parameters.

Operational Risk & Regulatory Responsibilities

  • Responsibility for managing, controlling, preparing and escalating risk within their scope;
  • Monitoring of operational risks and review of effectiveness of prevention measures;
  • Ensure compliance with policies, procedures within the business line;
  • Ensure timely intervention when breaches occur and analysis of root causes to avoid repeated issues;
  • Ensure that you take reasonable steps to be fully aware of, understand and comply with all regulatory requirements from all regulatory bodies that are applicable to your business;
  • Improving Conduct Risk framework and ensuring that actions deriving from conduct risk management information are taken forward;
  • Perform all duties in accordance with the principles outlined in the SGPBH Code of Conduct, as well as the policies and procedures relevant to your responsibilities, to ensure that you adhere to a culture that treats clients fairly and focuses on the long term sustainability of client relationships.

Organisation and governance

  • Detail of participation into the sub line governance including committees and roles;
  • Link with global organisation/governance;
  • Systems and controls;
  • Responsibility for means and resources required to perform your role;
  • Details of responsibilities for follow up of Audit, Inspection points.

Resource Management

  • Handling of sensitive issues;
  • Responsible for liaising with HR in relation to compensation, promotions and staff consultation during right-sizing of the organisation;
  • Ensuring all teams are appropriately managed and adequately supervised and controlled;
  • Contribution to proposals on the distribution of the bonus and salary pool;
  • Managing business line staff (recruitment training, career management, compensation) in coordination with regional partners;
  • Development of staff (i.e. having a growth plan, filling in products gaps, upgrading as necessary);
  • Ensuring job descriptions exist, individual appraisals are carried out and objectives are in place;
  • Ensuring appropriate resources are adequately utilised;
  • Cooperation with other departments;
  • Details of relations with support & control functions, through which forums for what purpose;
  • Other expectations;
  • Embody Code of Conduct and behavioural competency.

Delegated responsibilities

  • Ensure that the Kleinwort Hambros Audit Committee and Kleinwort Hambros Risk Committee are updated on all significant matters arising relating to legal issues;
  • Ensure as far as reasonably possible that Kleinwort Hambros policies and procedures reflect best practice and current law and are applied consistently across the Kleinwort Hambros to enable each entity to comply will all relevant legal and regulatory requirements in each jurisdiction as well as Kleinwort Hambros Group policy;
  • Develop and strengthen relationships with business heads to promote best practice and ensure a good understanding of legal requirements in order to manage and minimise risks;
  • Develop and build relationships with external legal suppliers to ensure an appropriate and efficient provision of external legal support to the Kleinwort Hambros group.

PROFILE REQUIRED

Competencies

  • Manager competencies as defined in the SG Leadership model;
  • Self-starter with a proactive and flexible approach to their work, able to exercise a high degree of initiative and resourcefulness in problem solving and be confident outside their ‘comfort zone’;
  • Exceptional planning, organisational and project management skills, including ability to evaluate and prioritise work schedules and manage time;
  • Excellent communicator, written and oral – clear, calm and with gravitas;
  • Strong presentation skills;
  • Strong analytical approach to resolve and minimise legal risks;
  • Business competence and general commercial awareness to enable effective contribution to Kleinwort Hambros objectives;
  • Strong interpersonal, influencing and negotiation skills with proven management ability;
  • Strong technical legal and regulatory knowledge of private banking, asset management and wealth management;
  • General management and team building experience;
  • Ability to lead a team and implement change;
  • In-house experience within the financial services industry or significant (e.g. City) law firm or non-UK equivalent.

Education:

  • Experienced solicitor of the Senior Courts of England and Wales, or analogous common law qualification or equivalent non-UK qualified lawyer with Qualified Lawyers Transfer Test;
  • 2.1 honours or better degree.

Languages:

  • Fluent English;
  • Other languages are advantageous.
