Top investment bank seeks an experienced and enthusiastic derivatives lawyer (Executive Director or Vice President level) to join the EMEA Markets Legal Practice Group within the Corporate and Investment Bank in EMEA. The role is in the Corporate Equities Legal Team which has responsibility for the private side corporate equity derivatives business. The team advises on the full range of private side corporate equities transactions, including highly structured OTC equity derivative transactions and structured margin financing transactions over listed and illiquid equities, as well as syndication transactions through credit default swaps and sub-participations.

The successful candidate will have the opportunity to work on high profile EMEA and cross-border corporate derivative transactions, providing advice on complex legal and regulatory issues associated with these transactions and partnering closely with the corporate equity derivatives business to structure and negotiate transactions in multiple jurisdictions. This is a technically challenging and highly rewarding role that offers a great opportunity for a talented and hard-working lawyer to develop highly specialised expertise in this area and to play a critical role in the success of a market leading business. Whilst the role is primarily transactional, members of the team are expected to have knowledge of UK and European derivatives law and regulation.

Core Responsibilities:

  • Advising the Sales and Trading business on the legal and regulatory aspects of complex corporate equity derivative transactions and margin loans secured by listed and illiquid equities. This would include reviewing deal structures and documentation, identifying legal, regulatory, credit and other issues relevant to a transaction, assisting the business to structure transactions in order to avoid or mitigate legal or regulatory issues and providing general legal support and advice;
  • Working closely with the business from inception to the close of transactions, with full involvement in the transaction execution process including drafting, reviewing and negotiating transaction documentation;
  • Developing and managing relationships with external counsel in various jurisdictions and working closely with external counsel on those transactions for which they are engaged;
  • Liaising with legal colleagues in other jurisdictions on cross-border transactions and with Compliance and other internal risk and control functions;
  • Advising the corporate equity derivatives business on a range of regulatory matters impacting their business;
  • Assisting and advising the business and colleagues in the Legal Department on regulatory change and implementation affecting the businesses we support;
  • Driving process, documentation and efficiency improvements across the various areas of coverage.

Essential skills, qualifications and experience:

We are looking for someone who:

  • is licensed to practice law in England & Wales or a similar jurisdiction;
  • is an experienced derivatives lawyer with outstanding technical skills, familiarity with ISDA documentation at a transactional level and good knowledge of both transactional matters and derivatives law and regulation, preferably with experience in corporate derivatives (equity collars, total return swaps, forwards) and/or margin loans;
  • has excellent analytical abilities and can provide on the spot legal and regulatory advice in situations requiring quick analysis and has an ability to exercise good judgement and identify and escalate legal risks under time pressure;
  • is a team player, confident and proactive, enjoys working closely with Sales and Trading as well as other internal control functions;
  • has exceptional organisational and communication skills to perform a role with a high degree of front office contact and negotiate documentation with clients;
  • has excellent drafting skills;
  • has good commercial aptitude and a strong interest in financial markets and products;
  • has a strong interest in transactional work and the ability to oversee multiple transactions simultaneously;
