As part of this team, you will be responsible for the Governance of Subsidiaries & Intra-group Reorganization. You will operate as an expert in a multidisciplinary environment where financial and non-financial aspects go hand in hand. Working closely with the team's partners, both internal and external (working groups of national and European professional associations), you will play an active part in the following tasks:

Here’s how you will have a role to play in this team:

  • Provide corporate legal advice for and implement intra-group restructuring transactions (mergers, demergers, asset transfers, capital increase, etc.) to optimise or simplify the Group's structure or as part of post-acquisition integration;
  • Design, manage and supervise the corporate legal housekeeping of subsidiaries and their governance;
  • Set up and manage a workflow tool for corporate legal housekeeping and transactions including a corporate database;
  • Organize and lead a worldwide network of corporate law correspondents;
  • Be responsible for the governance of intra-group contracts for the legal department (procedure, templates, coordination);
  • Determine the framework and produce delegations of authority for Group subsidiaries;
  • Update and disseminate the rules of governance applicable to the Group's subsidiaries.

The skills that you will need to make an impact:

  • You have an initial background in corporate law at Bac+5 level, or master level, ideally complemented by a degree (LLM or business school).
  • At least 10 years' experience in this field, having held a similar position in the corporate legal department of a listed international group or in the corporate department of a law firm.
  • Excellent interpersonal and managerial skills: you will have excellent interpersonal skills and be able to communicate fluidly and naturally; you will be able to discern and interact with a wide range of people (including top management).
  • Results-oriented, you want to get involved in a team and community of experts.
  • Excellent writing, analytical and summarizing skills: a critical eye and the ability to take a step back and provide a strategic vision.
  • Agile and able to adapt to a changing environment.
  • A good understanding of the issues and impacts of corporate governance is essential.
  • Fluency in French and English as working languages.
